CONSTITUTION |

| I. |
This club shall be known as the Fox Valley Riders Motorcycle Club. |
| II. |
It is not mandatory that members be associated with or be members of the American Motorcycle Association (AMA) . |
| III. |
Any person owning and operating a motorcycle that is highway speed ready may be eligible for club membership. Any member disposing of his/her motorcycle and failing to secure another within a one-year period from date of disposal will automatically be expelled from club membership, unless they apply and are accepted for associate membership. |
| IV. |
Officers of this club shall be elected by the membership and generally perform the duties associated with each office. |

1. |
President -will be the official leader and preside at all club meetings. |
| |
2. |
In the absence of the President, the Vice-president will assume all duties of that office and will be in charge of all club publicity, good will, parades and club history. |
| |
3. |
Secretary - will officially record all minutes of the club meetings and inform the absent members of pending activities. |
| |
4. |
Treasurer - will be in charge of all club funds, be responsible for collecting all dues and fees, keep the books in balance, and for taking and keeping attendance at meetings. |

5. |
Chaplain - will be in charge of all duties pertaining to that office. |
| |
6. |
Term for officers of this club shall be for one year. Officers shall be nominated at the official November and December meetings. Voting for such officers shall take place at the official January meeting. Officers elected at the general membership meeting in January, shall be installed at the January banquet, and take office at the first general membership meeting in February. |

If the membership would fall to ten (10) or less members, the officer roles would be condensed to three offices: President, Treasurer and Secretary, until such time as membership becomes more than ten (10) members. |
| V. |
Any officer of this club may be impeached by a two-thirds vote of all members. any officers absent from three consecutive meetings without satisfactory excuse, shall vacate such office, and another shall be elected by the members to fill the unexpired term. |
| VI. |
A quorum shall consist of twenty-five (25) percent of the membership and is required to hold an official meeting to transact club business. |
| VII. |
Club dues shall be $24.00 per year, per member, with new members being prorated based on date of acceptance. Dues are to be paid on or before 5 PM December 31st. If dues are not paid by 5 PM on December 31st, the member will be dropped from the roster. |
| VIII. |
Proxy votes will be accepted in sealed envelopes only. |
| IX. |
This constitution may be amended by a forty percent vote of the membership. |
